Terms of Use

Effective March 10th, 2026

These Terms of Use ("Terms") govern your access to and interaction with the Tulpea Protocol, including any associated smart contracts, web interfaces, APIs, documentation, and related infrastructure (collectively, the "Protocol").

By accessing or interacting with the Protocol, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Protocol.

Nature of the Protocol

Tulpea Protocol is a blockchain-based infrastructure composed of open-source smart contracts deployed on public networks.

The Protocol enables peer-to-peer interaction between blockchain wallets in connection with digital asset transactions, including lending and borrowing arrangements that may reference real-world assets.

The Protocol is non-custodial. At no time does Tulpea Protocol, its contributors, developers, affiliated entities, or service providers:

  • Take custody of user funds
  • Control user keys
  • Hold digital assets on behalf of users
  • Act as escrow agent or trustee

Users retain sole control and responsibility over their digital assets at all times.

2.

Infrastructure Only – No Banking Activity

The Protocol is software infrastructure.

It is not:

  • A bank
  • A deposit-taking institution
  • A credit institution
  • A licensed investment firm
  • A broker-dealer
  • An asset manager

The Protocol does not provide savings accounts, capital protection, or insured deposits.

Any use of the Protocol involves risk of total loss.

3.

No Securities Offering

Access to or interaction with the Protocol does not constitute:

  • A public offering of securities
  • A solicitation to invest
  • A collective investment scheme
  • A managed investment arrangement
  • An offer of financial instruments

Certain financing opportunities accessible through the Protocol may involve third-party legal entities and contractual arrangements referencing real-world assets. Such arrangements are independent legal relationships between participants and relevant counterparties.

Tulpea Protocol itself does not issue securities.

No Investment Advice

Nothing contained within:

  • The Protocol
  • Its interface
  • Its documentation
  • Any related communications

Constitutes investment advice, legal advice, tax advice, or financial advisory services.

All information is provided for informational purposes only.

Users are solely responsible for conducting their own due diligence and consulting professional advisors where appropriate.

5.

No Guarantee of Returns

Any yield indication, projected return, target rate, fixed percentage reference, illustrative scenario, or performance metric:

  • Is indicative only
  • Is not guaranteed
  • May change
  • May be reduced or eliminated
  • May result in partial or total loss

Participation in financing transactions carries substantial financial risk.

Risk Disclosure

By interacting with the Protocol, you acknowledge and accept the risks associated with:

Technical Risks

  • Smart contract vulnerabilities
  • Software bugs
  • Oracle malfunction
  • Blockchain congestion
  • Network attacks
  • Permanent loss of private keys

Market Risks

  • Digital asset volatility
  • Liquidity risk
  • Stablecoin depegging
  • Adverse market conditions

Counterparty Risks

  • Default by borrowing entities
  • Failure of offchain legal enforcement
  • Insolvency of third-party operators
  • Mismanagement of real-world assets

Regulatory Risks

  • Changes in laws or regulations
  • Regulatory enforcement
  • Jurisdictional restrictions
  • Recharacterization of transactions

Real-World Asset Risks

  • Property damage
  • Construction delays
  • Force majeure events
  • Lease termination
  • Rental underperformance
  • Insurance disputes

You acknowledge that you may lose the entirety of funds committed.

7.

Restricted Persons and Jurisdictions

The Protocol is not directed to and may not be used by:

  • Any "U.S. Person" as defined under Regulation S of the U.S. Securities Act of 1933
  • Any individual or entity located in the United States
  • Any entity incorporated under U.S. law
  • Any person acting for the benefit of a U.S. Person
  • Any individual or entity subject to sanctions administered by OFAC, the European Union, the United Kingdom, or the United Nations
  • Any person located in a jurisdiction where use of the Protocol would be unlawful

By using the Protocol, you represent and warrant that:

  • You are not a U.S. Person
  • You are not located in the United States
  • You are not acting on behalf of a U.S. Person
  • You are not subject to applicable sanctions

Interface access may be restricted, blocked, or terminated at any time.

8.

No Fiduciary Duty

Tulpea Protocol, its contributors, developers, and affiliated entities:

  • Owe no fiduciary duty
  • Do not act as trustee
  • Do not act as agent
  • Do not act as investment advisor
  • Do not assume any duty of care beyond the operation of software

Users interact with the Protocol at their own discretion and risk.

9.

Third-Party Legal Structures

Certain transactions accessible via the Protocol may involve:

  • Special purpose vehicles
  • Real estate holding entities
  • Offchain loan agreements
  • Master lease arrangements
  • Collateral security agreements

Tulpea Protocol:

  • Is not a party to such agreements
  • Does not enforce offchain obligations
  • Does not guarantee performance
  • Does not monitor compliance

Any dispute arising from such agreements must be resolved directly between relevant parties.

10.

Upgrades and Modifications

Smart contracts or interfaces may be:

  • Upgraded
  • Modified
  • Replaced
  • Paused
  • Discontinued

Without prior notice.

Continued use constitutes acceptance of modifications.

11.

Limitation of Liability

To the maximum extent permitted by applicable law, Tulpea Protocol, its contributors, developers, affiliates, and service providers shall not be liable for:

  • Direct losses
  • Indirect losses
  • Consequential damages
  • Loss of profits
  • Loss of digital assets
  • Counterparty default
  • Regulatory action
  • Technical malfunction

All use is at your sole risk.

12.

Indemnification

You agree to indemnify and hold harmless Tulpea Protocol, its contributors, affiliates, and service providers from any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Protocol
  • Your violation of these Terms
  • Your breach of applicable laws
  • Disputes with counterparties
13.

Termination

Access to the interface may be suspended or terminated at any time without notice.

Onchain smart contracts may remain accessible independently of the interface.

14.

Governing Law

These Terms shall be governed by the laws of Seychelles.

15.

Entire Agreement

These Terms constitute the entire agreement governing use of the Protocol.
